1. Acceptance of Terms
By accessing or using Signoryn (the “Service”), you agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree, you may not use the Service.
2. Your Account
You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized access. You must provide accurate, current information when creating an account.
3. Acceptable Use
You agree not to use the Service to upload, store, or transmit content that is unlawful, fraudulent, infringing, malicious, or that violates the rights of others. You may not attempt to disrupt the Service, reverse engineer it, or access it through automated means without our written permission.
4. Subscriptions and Billing
Paid plans renew automatically until canceled. Pricing, billing cycles, and refunds are described on our pricing and cancellation pages. You authorize us to charge your payment method for all fees due. Taxes may apply.
5. Electronic Signatures
The Service is designed to facilitate electronic signatures consistent with the U.S. ESIGN Act and UETA, and analogous laws in supported jurisdictions. You are solely responsible for determining the legal validity of any signed document in your jurisdiction and use case.
6. Intellectual Property
Signoryn and its content, trademarks, and software are owned by us or our licensors. You retain ownership of documents and data you upload. You grant us a limited license to process that content solely to provide the Service.
7. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not provide legal advice.
8. Limitation of Liability
To the maximum extent permitted by law, Signoryn shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our aggregate liability for any claim is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim.
9. Termination
We may suspend or terminate your access if you breach these Terms or use the Service in a way that creates risk for us or other users. You may cancel at any time per our Cancellation Policy.
10. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Delaware.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
